The license rules for Starlight Aurora also apply to the technology it's based on - in this case the VX 3d Lite Engine. Note: You as a user are hereinafter referred to as "you" or "the user". Vovoid Software & Multimedia is hereinafter referred to as "Vovoid". Starlight Aurora / VX 3d Lite is hereinafter referred to as "Starlight Aurora". Please read the Agreement carefully, because it is a legal contract and imposes obligations on you as a Starlight Aurora user. By loading this product into the RAM of your computer (upon execution as a Sonique plugin) you will be bound by this Agreement. SOFTWARE DESCRIPTION. Starlight Aurora is a cutting-edge Sonique 1.x visual effects plugin. THE LICENSE. Vovoid is distributing this software plugin from three eventual sites - 1. http://plugins.sonique.com 2. http://www.vovoid.com 3. Through book/magazine/newsletter etc. The distribution of this software is 100% free at the sites listed above. Vovoid license's Starlight Aurora only during the time that this Agreement is in effect and subject to your compliance of the agreement. You may load Starlight Aurora into the temporary/permanent storage of your computer and you may do this each time you wish to use it under the terms and conditions defined in this agreement. Also that is only for personal use. All rights to Starlight Aurora not listed in this document (regardless if existing or not) is reserved for Vovoid Software & Multimedia. If you violate this agreement the license shall terminate immediately. PROHIBITED USE. You warrant and represent that you will not violate the requirements or obligations of this agreement and you represent and warrant that: - You will not, and will not permit others to, (I) reverse engineer, decompile, disassemble, derive the source code of, modify, or create derivative works from Starlight Aurora, or (II) copy, distribute, publicly display, or publicly perform Starlight Aurora other than as expressly authorized by this Agreement. - You will not use Starlight Aurora to engage in or allow others to engage in any illegal activity. - You will not export Starlight Aurora or use Starlight Aurora outside the territories of Sweden except as authorized by Swedish law and the law of the jurisdiction in which you obtained Starlight Aurora. - You will not use Starlight Aurora to engage in any activity that will violate the rights of third parties, including, without limitation, through the use, public display, public performance, reproduction, distribution, or modification of communications or materials that infringe copyrights, trademarks, publicity rights, privacy rights, other proprietary rights, or rights against defamation of third parties. - You may not claim any sponsorship by, endorsement by, or affiliation with Vovoid. - You will not display Starlight Aurora at Night Clubs/Concerts and or in equivalent situations. - You will not use Starlight Aurora in other Programs than Sonique thus excluding 3rd-party visual viewers and video post production software that might support Sonique Visuals. - You will not use Starlight Aurora to gain public revenue of any kind. You agree to release, defend, indemnify and hold harmless Vovoid, their officers, directors, employees, agents, independent contractors, attorneys, accounts, parent corporations, subsidiary corporations, affiliates, successors, and assigns, from and against any and all liability, claims, actions or demands by yourself or any other party resulting from or relating to your use or misuse of Starlight Aurora. You waive all laws that may limit the efficacy of such a release or indemnity. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY. COSMIC WAVE IS SUPPLIED "AS IS." VOVOID DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO COSMIC WAVE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT OF PROPRIETARY RIGHTS. NEITHER THIS AGREEMENT NOR ANY DOCUMENTATION FURNISHED UNDER IT IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THE OPERATION OF COSMIC WAVE WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE. Some jurisdictions do not permit limitations of liability. In such jurisdictions, the foregoing limitations may not apply to you. FORCE MAJEURE. Under no circumstances shall Vovoid be liable for any delay or failure in performance under this Agreement resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning. CHOICE OF LAW, JURISDICTION, AND VENUE. This Agreement shall be governed by and construed in accordance with the laws of Sweden and in the United States which is the place where most of the distribution takes place. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all previous proposals, both oral and written, negotiations, representations, writings and all other communications between the parties. MODIFICATION Vovoid reserves the right to modify or amend this Agreement at any time and for any reason or for no reason at all, in their sole discretion, without notice. TERM AND TERMINATION. This Agreement is terminable at will by you or by Vovoid for any reason or for no reason at all, in either your, Vovoid's sole discretion. This Agreement shall terminate immediately upon any breach by you. Upon termination, you agree to discard all copies of Starlight Aurora. All provisions of this Agreement which by their nature extend beyond termination remain in effect until fulfilled and apply to respective successors and assigns. RELATIONSHIP OF PARTIES. You and Vovoid are independent contractors under this Agreement, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party pursuant to this Agreement has authority to enter into agreements of any kind on behalf of the other party and neither party shall be considered the agent of the other. PARENTAL SAFETY CONTROLS. Certain material available on the Internet is not appropriate for minors. To prevent or limit your children's access to such material, a number of parental control protections (such as computer hardware, software, and filtering services) are commercially available. NON-WAIVER AND SEPARABILITY. Vovoid's failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
